Terms of Service

1. Agreement to Terms

By engaging with Shannon Aleksa Yoga LLC for digital marketing services, you (the "Client") agree to be bound by these Terms of Service. These terms govern the provision of all services offered by Shannon Aleksa Yoga LLC, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, and content marketing.

2. Scope of Services

The specific services, deliverables, timelines, and scope of work will be detailed in a separate Statement of Work (SOW) or client agreement. Any changes to the scope must be agreed upon in writing by both parties. Shannon Aleksa Yoga LLC will perform the services with a professional level of skill and care.

3. Payment Terms

Payment terms, including service fees, billing cycles, and payment methods, will be outlined in the SOW. Invoices are due upon receipt unless otherwise specified. Late payments may incur interest charges. All fees paid to third-party platforms (e.g., Google Ads, Facebook Ads) are the sole responsibility of the Client.

4. Client Obligations

The Client agrees to provide Shannon Aleksa Yoga LLC with timely access to necessary resources, including website access, analytics data, brand assets, and other information required to perform the services. The Client is responsible for the accuracy and legality of all content and materials provided to Shannon Aleksa Yoga LLC.

5. Confidentiality

Both parties agree to keep confidential all proprietary information, including business strategies, client data, and campaign details, shared during the engagement. This obligation of confidentiality will survive the termination of the agreement.

6. Intellectual Property

The Client retains ownership of all pre-existing intellectual property and any content created specifically for the Client as part of the deliverables (e.g., ad copy, blog posts), provided all payments have been made in full. Shannon Aleksa Yoga LLC retains ownership of its proprietary methodologies, tools, and processes used to deliver the services.

7. Limitation of Liability

While Shannon Aleksa Yoga LLC strives to achieve the best possible results, we do not guarantee specific outcomes such as search engine rankings, lead volume, or conversion rates, as these are influenced by external factors beyond our control. Our liability for any claim arising from our services is limited to the total fees paid by the Client to Shannon Aleksa Yoga LLC in the preceding three months.

8. Term and Termination

The term of the agreement will be specified in the SOW. Either party may terminate the agreement with written notice (typically 30 days) as outlined in the SOW. Upon termination, the Client is responsible for payment for all services rendered up to the effective termination date.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Shannon Aleksa Yoga LLC is registered, without regard to its conflict of law principles.
